Purpose and scope
These Sales Terms govern the sale of Service subscriptions to business customers (use in a professional context). They prevail over any conflicting customer document.

Sales terms

These sales terms (“Sales Terms”) govern the subscription to paid Maint Vision plans by business customers. They supplement the terms of use.

Plans and features
The Service is offered under several plans (for example a free plan and paid plans billed per user). The details of the plans and their limits are presented at subscription and in the billing area. Features may evolve.
§ 03
Subscription
Paid plans are purchased on the basis of a quote issued by Maint Vision at the customer’s request. Subscription requires acceptance of that quote, of these Sales Terms and of the Terms of use. The customer warrants that it is authorized to bind its Organization.
§ 04
Pricing
Prices are stated exclusive of tax and billed per active user, according to the chosen period (monthly or annual). An active user is any account activated in the Organization, whatever its role and including read-only accounts, except “requester” accounts: they can only report a breakdown or request work and follow its progress, and are never billed. Applicable VAT is added where relevant. We may change our prices; any change is notified in advance and applies at the next renewal.
§ 05
Billing and payment
Maint Vision issues an invoice for each billing period (monthly or annual), payable under the terms stated on the quote and on the invoice. In the event of non-payment, access to paid features may be suspended after a reminder.
§ 06
Duration and renewal
The subscription is taken out for the chosen period (monthly or annual) and renews automatically for an identical term, unless canceled by written notice to Maint Vision before the renewal date. Cancellation takes effect at the end of the current period.
§ 07
Free plan and trial
When an Organization is created, a trial period of 30 days giving access to all modules, except AI procedure generation, is opened, with no card required. At its end, and absent a subscription, the Organization automatically moves to the free plan: no subscription is started and no charge is made. The free plan is permanent and of reduced scope, the details of which are set out on the Pricing page and in the billing area. We may change or discontinue a free plan upon prior notice.
§ 08
Right of withdrawal
As the Service is intended for professionals for the needs of their business, the right of withdrawal provided for consumers does not, in principle, apply. The business customer may nonetheless cancel under the conditions set out above.
§ 09
Termination and data
On termination, access to paid features ceases at the end of the paid period. You have a reasonable period to export your data; after that, it is deleted or anonymized in accordance with the privacy policy.
§ 10
Availability and support
We provide the Service on a best-efforts basis and offer email support at contact@maintvision.com. No contractual service level (SLA) is guaranteed, unless separately agreed in writing.
§ 11
Warranties and liability
To the extent permitted by law, our liability under the subscription is limited to direct and foreseeable damages and shall not exceed the amounts paid during the twelve (12) months preceding the triggering event. We do not warrant that the Service is fit for a specific need not made known to us and accepted in writing.
§ 12
Force majeure
Neither party shall be liable for a failure resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code.
§ 13
Data protection
In the course of providing the Service, the publisher acts as a processor within the meaning of Article 28 GDPR for data processed on the customer’s behalf. The corresponding commitments and the list of sub-processors are set out in the privacy policy.
§ 14
Governing law and disputes
These Sales Terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution before any action. Failing that, jurisdiction is granted to the courts of the publisher’s registered office, subject to applicable mandatory rules.
